1. Who we are and what this document is
These Terms of Service (the Terms) are a binding agreement between you and Aseoma (Aseoma, we, us), the provider of the Aseoma website at aseoma.com, the Aseoma web application, its API and related services (together, the Service).
By creating an account, starting a trial, placing an order or otherwise using the Service you accept these Terms on your own behalf and, where applicable, on behalf of the organisation you represent (you, the Customer). If you accept on behalf of an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the Service.
The Service is intended for businesses and professionals: website owners, marketers, SEO specialists and agencies. If you use it as a consumer, the mandatory consumer protection rules of your country of residence apply in addition to these Terms and prevail over any provision that conflicts with them.
Our Privacy Policy and Refund Policy form part of these Terms.
2. Orders are processed by Creem
Our order process is conducted by our online reseller Creem (Armitage Labs OÜ). Creem is the Merchant of Record for all our orders and handles payments, taxes, invoices, refunds and chargebacks.
Creem (Armitage Labs OÜ (Estonia)) is the seller of record of every paid plan: it runs the checkout, takes the payment, calculates and collects VAT, GST or sales tax, issues invoices and receipts, and processes refunds and chargebacks. Your purchase is also governed by Creem’s buyer terms, which you accept at checkout. Aseoma is responsible for providing the Service you bought and for supporting you in using it.
Because Creem is the seller, the charge appears on your card or bank statement under Creem’s name. For questions about a charge you can contact us at [email protected] or Creem directly at [email protected].
3. Definitions
- Workspace (or Organisation): the account created at sign-up that holds your projects, members, plan and usage.
- Project: a website you add to the Service to track rankings, audit, connect Search Console or monitor in other ways.
- Tracked keyword: one keyword for one location and one device whose Google position is checked on a schedule.
- Plan: the Free plan, the Starter trial or a paid subscription (Starter, Pro, Agency or an individually agreed Enterprise plan), each with the features and limits shown on the pricing page at the time of purchase.
- Usage allowance: the quantities included in a plan per day, month or billing period, such as tracked keywords, audited pages, research reports, AI Writer articles or AI prompts. The app shows what is used and what remains.
- Customer Data: keywords, domains, URLs, competitors, connected Google properties, notes, reports, articles and any other content you submit to or generate with the Service.
4. The Service
Aseoma is software as a service for search engine optimisation. Depending on the plan it includes:
- Rank tracking: daily Google positions for your keywords by country, city and device, SERP features, share of voice and competitor positions;
- Site audit: a crawler that checks your pages for technical and on-page issues, with health scores, priorities, change history and exportable reports;
- Keywords Explorer and Site Explorer: search volumes, keyword difficulty, ideas, questions, competitor domains, top pages, keyword gap;
- Backlinks: referring domains, anchors, new and lost links, broken links;
- Search Console reports: clicks, impressions, striking-distance keywords, content decay, cannibalisation, indexing;
- Page speed (Core Web Vitals), local SEO (local rank grid, reviews), AI visibility (mentions of your brand in AI answers);
- AI Writer articles, alerts by email, Telegram, Slack or webhook, scheduled client reports, share links and an API.
The Service is provided online; nothing is shipped. Access starts as soon as your account is created or your payment is confirmed.
5. Account and eligibility
You must be at least 18 years old and able to enter into a binding contract. Provide accurate registration details, verify your email address and keep your details current. You are responsible for all activity under your account and for keeping passwords, API tokens and two-factor recovery codes confidential. Tell us at once at [email protected] if you suspect unauthorised access.
A Workspace may have several members with different roles. The Owner, and anyone the Owner gives the right to, may manage billing, invite or remove members and delete projects. Actions taken by members and by API tokens are attributed to the Customer.
6. Free plan, Starter trial and paid plans
Free plan. The Free plan is available through our free SEO audit tool: when you save a free audit report, a Workspace on the Free plan is created for you. It is free of charge, has no time limit and includes the site audit of one website with the monthly page limit shown on the pricing page (currently 100 pages a month). Other tools are shown but locked until you buy a plan or start the trial.
Starter trial. The Starter plan starts with a free trial of 7 days. During the trial every feature and limit of Starter is available. Each person and each organisation may use one trial. Starting the trial requires a payment method, entered at the Creem checkout; nothing is charged when the trial starts. Unless you cancel before the trial ends, the Starter subscription starts automatically when the trial ends and its first period is charged, monthly or yearly as you chose at checkout. We email you a reminder 2 days before the trial ends. You can cancel the trial at any time in Settings → Billing, as described under Cancellation and refunds.
Pro and Agency. The Pro and Agency plans have no trial. They are paid at checkout, and their first payment is covered by the money-back guarantee described below. If you move from the Starter trial to Pro or Agency, the trial ends and the new plan is charged at once.
We may refuse, shorten or end a trial or Free plan where we detect abuse, such as duplicate accounts, repeated trials, automated sign-ups or use that has nothing to do with evaluating the Service.
7. Prices, payment and automatic renewal
Prices are shown on the pricing page in EUR. Taxes such as VAT are calculated by Creem for your country and shown at checkout before you pay; businesses with a valid EU VAT number are invoiced under the reverse-charge mechanism where it applies.
Paid plans are subscriptions billed in advance, monthly or yearly. Yearly billing costs 10 months per year. Subscriptions renew automatically at the end of each period for a period of the same length, at the price then in effect, until you cancel. By subscribing you authorise Creem to charge your payment method at each renewal. The next renewal date and amount are always shown in Settings → Billing.
Plan changes are made in Settings → Billing. An upgrade (a higher plan, or moving from monthly to yearly billing) takes effect immediately, and the price difference for the rest of the current period is charged at once, pro rata. Upgrading during the Starter trial ends the trial and the new plan is charged at once. A downgrade to a lower plan also takes effect immediately, with the lower limits; the lower price applies from the next renewal, and the difference for the current period is not refunded.
Payment methods, invoices and receipts are managed in Creem’s customer portal, which you can open from Settings → Billing.
We may change prices or plan limits for future periods. We tell you by email at least 30 days in advance, and the change applies from your first renewal after that notice. If you do not agree, cancel before that renewal. Prices already paid are never changed.
If a payment fails, Creem retries it over a short grace period during which the Service stays available. If the payment still fails, paid features are paused until the subscription is paid; your data is kept.
8. Cancellation and refunds
You can cancel at any time in Settings → Billing, or by writing to [email protected]. Cancelling a paid plan stops future renewals; the plan stays active until the end of the period already paid, then paid features stop and your data is kept. Until then you can resume the subscription in Settings → Billing. Cancelling during the Starter trial ends the trial and access to the Starter features at once, and nothing is charged.
The first payment of every subscription comes with a 30-day money-back guarantee, monthly or yearly. Renewals, the statutory right of withdrawal for consumers and every other case are described in the Refund Policy. Refunds are paid by Creem to the original payment method.
9. Usage allowances and fair use
Each plan includes the usage allowances published on the pricing page. Allowances reset at the start of each day, month or billing period as described there; unused amounts do not carry over and have no cash value. When an allowance is used up, the related action is unavailable until it resets or you upgrade; you are never charged extra without buying it.
The Service applies rate and concurrency limits to protect the platform, the websites we crawl and our data providers. You must not circumvent limits, share one Workspace between unrelated organisations to avoid buying a plan, or resell raw data obtained through the Service as a data product. Reports, exports and share links that you prepare for your own clients are allowed.
10. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or harmful, or to infringe the rights of others, including intellectual property and privacy rights;
- audit or crawl websites you are not allowed to crawl, or set up crawls to overload any website;
- attempt to access the Service, other Workspaces or the systems of our providers without authorisation, or test the security of the Service without our written permission;
- scrape, mirror or bulk-extract the Service or its data other than through the export and API features of your plan;
- copy, modify, reverse engineer or decompile the Service, except as permitted by mandatory law;
- use the AI features to produce spam, deceptive, defamatory, hateful or illegal content, or content that infringes someone else’s rights;
- upload malware, or use the alerts, webhooks or reports to send unsolicited messages;
- misrepresent your identity or your relationship with a website or brand.
We may investigate suspected violations and, where reasonably necessary, remove content, limit usage or suspend the account. We tell you why unless the law or security prevents it.
11. Crawling third-party websites
Site audits, page speed tests and some reports fetch pages from websites you name. Our crawler identifies itself with its own user agent (see the bot page), limits its speed and follows robots.txt rules unless you, as the site owner, choose otherwise for your own site. You confirm that you own the websites you audit or have the owner’s permission, and you are responsible for the crawl settings you choose.
12. AI features
AI Writer, content briefs, title and description suggestions and AI visibility reports use third-party language models. AI output can be inaccurate, incomplete or similar to content produced for others. Review and edit it before you publish it; you are responsible for the content you publish and for its compliance with the law and with search engine guidelines.
Subject to these Terms and to the rights of third parties, you own the articles and other output generated for you and may use them freely, including commercially. We do not use your inputs or outputs to train AI models, and our AI providers do not either.
13. Customer Data and privacy
You keep all rights in Customer Data. You grant us a non-exclusive licence to host, process, transmit and display Customer Data only to provide, secure and improve the Service and as you instruct. We may use aggregated statistics that identify neither you nor any person to run and improve the Service.
The Privacy Policy explains how we handle personal data as a controller. Where Customer Data contains personal data you control, we process it on your behalf as a processor under Article 28 GDPR. A Data Processing Agreement, with the list of subprocessors and the Standard Contractual Clauses for transfers outside the EEA, is available on request at [email protected].
You can export your data with the export features of your plan. When a Workspace is deleted we delete its Customer Data as described in the Privacy Policy.
14. Google data
If you connect a Google account, our use of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. Search Console data is only used to show you your own reports. You can disconnect Google at any time in the project settings, which deletes the stored tokens.
15. Third-party data and accuracy
Rankings, search volumes, keyword difficulty, traffic estimates, backlinks, local results and AI answers come from third-party providers and Google APIs, or are estimates computed from them. Search results change by moment, place and person, and estimates are models, not measurements. We show the data as we receive or compute it and do not guarantee that it is accurate, complete or suitable for a particular decision.
Providers may change their coverage, availability or prices. If a provider becomes unavailable we may replace it with a comparable source.
16. Integrations
You can connect the Service to third-party tools such as Google Search Console, Slack, Telegram or your own webhooks. Your use of those tools is governed by their own terms. When you set up an integration you instruct us to send the chosen data to it; we are not responsible for what the third party does with it.
17. Intellectual property
The Service, its software, design, texts and trademarks belong to Aseoma or its licensors. During your subscription we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business and for the services you provide to your clients.
You may share reports, exports and public report links with your clients and use them in your own materials. If you send us feedback or suggestions, we may use them freely.
18. Confidentiality
Each party keeps confidential the non-public information it receives from the other, including Customer Data, uses it only for the purposes of these Terms, and protects it with at least reasonable care. This does not apply to information that is public, already known, independently developed or that must be disclosed by law.
19. Availability, support and changes
We aim to keep the Service available around the clock but cannot guarantee uninterrupted operation. We announce planned maintenance in advance where practical. Scheduled rank checks missed during an outage run as soon as possible, and usage is not counted for checks that did not run.
Support is provided by email at [email protected]. We answer within one business day.
We improve the Service continuously and may add, change or retire features. We will not remove a core feature of a paid plan during a period you have paid for without offering a pro-rata refund. Features marked beta or preview may change or be withdrawn at any time.
20. Warranties and disclaimers
We will provide the Service with reasonable skill and care, and it will work materially as described on our website and in the app. Beyond this, and to the extent the law allows, the Service is provided “as is” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that your rankings or traffic will improve.
Nothing in these Terms limits the statutory rights of consumers under the laws of their country of residence.
21. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill.
Our total liability under these Terms in any twelve months is limited to the amount you paid for the Service in the twelve months before the event giving rise to the claim.
These limits do not apply to liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or to any other liability that cannot be limited by law.
22. Indemnity
You will indemnify Aseoma against third-party claims, damages and reasonable costs arising from Customer Data, from content you publish with the Service, from use of the Service in breach of these Terms, or from crawling websites you were not allowed to crawl. We will tell you promptly about any such claim and cooperate reasonably. This section does not apply to consumers.
23. Suspension and termination
You may stop using the Service at any time and cancel your subscription as described above. We may end the agreement with 30 days’ notice by email, refunding any prepaid period not yet used. We may suspend or end access immediately if you materially breach these Terms, if the law requires it, if your use threatens the security of the Service or others, or in case of fraud or a chargeback on a valid payment.
When the agreement ends, your right to use paid features ends. You can export your data before that. We delete Customer Data as described in the Privacy Policy, except records we must keep by law, such as billing records.
24. Changes to these Terms
We may update these Terms, for example when we add features or when the law changes. For material changes we notify you by email or in the app at least 30 days before they take effect. If you do not agree, you can cancel before the effective date; for a yearly plan you can then ask for a pro-rata refund of the unused months. Continued use after that date means you accept the new Terms. The date at the top shows the current version.
25. Governing law and disputes
These Terms are governed by the laws of the country where Aseoma is established, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Consumers keep the protection of the mandatory laws of their country of residence and may bring proceedings in its courts.
Before going to court, please write to us: most problems are solved quickly by email. EU consumers may also use an alternative dispute resolution body; we are not obliged to take part in proceedings before a consumer arbitration board but will consider it in good faith.
26. General
- These Terms, with the Privacy Policy, the Refund Policy and any order you place, are the entire agreement between you and us about the Service.
- If a provision is found invalid, the rest stays in force. Not enforcing a provision is not a waiver of it.
- You may not transfer your rights under these Terms without our consent. We may transfer them to a successor in a merger or sale of the business, with notice to you.
- Neither party is liable for delays caused by events beyond its reasonable control, such as outages of networks or providers, natural disasters or acts of authorities.
- We send notices to the email address of the Workspace Owner; you send them to [email protected]. These Terms are written in English; a translation is for convenience only.
